Terms of Service — VerdaRay

Please read these Terms of Service carefully before using our store or purchasing any products. By accessing or using the Services, you agree to be bound by these Terms.

When you place an order, you are making an offer to purchase. VerdaRay reserves the right to accept or decline any order at its discretion. Your order is not confirmed until we send an acceptance notice, and payment must be received before acceptance is granted.

Please review your order carefully before submitting. We may not be able to accommodate cancellation requests after an order has been accepted. If we decline, change, or cancel an order, we will notify you using the contact details provided at the time of purchase.

Returns and exchanges are subject to our Refund Policy.

You confirm that purchases are for personal or household use and not for commercial resale or export.

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price displayed at the time your order is placed, as confirmed in your order confirmation email. Prices do not include applicable taxes, shipping, or import charges unless expressly stated.

Prices on our store may differ from prices in physical or third-party stores. Promotional pricing is governed by the terms of each individual promotion. In the event of a conflict, the promotion terms apply.

All delivery times are estimates only and are not guaranteed. We are not liable for delays caused by shipping carriers, customs processing, or circumstances outside our control. Risk of loss and title for products passes to you once the item is handed to the carrier.

VerdaRay's name, logo, and product names are trademarks of VerdaRay. Shopify's trademarks belong to Shopify. All other trademarks on the Services belong to their respective owners.

Section 7 — Optional Tools

We may provide access to third-party tools through the Services. These tools are offered "as is" and "as available" without warranty of any kind. We have no control over and accept no liability for third-party tools. Your use of any optional tools is entirely at your own risk.

VerdaRay is powered by Shopify. All sales and purchases are made directly with VerdaRay. Shopify is not responsible for any aspect of transactions between you and VerdaRay, including any injury, damage, or loss arising from purchased products. By using the Services, you expressly release Shopify and its affiliates from all claims arising from your purchases with VerdaRay.

Section 10 — Privacy Policy

All personal information collected through the Services is handled in accordance with our Privacy Policy. Certain information may also be subject to Shopify's Privacy Policy. By using the Services, you confirm that you have read both policies.

Section 11 — Feedback

If you submit reviews, suggestions, ideas, or other feedback, you grant VerdaRay a perpetual, worldwide, royalty-free licence to use, reproduce, modify, and distribute that content for any purpose, including operating and improving the Services.

You confirm that you own or have the rights to all feedback you submit, and that your feedback complies with these Terms. We are under no obligation to keep feedback confidential, pay for it, or respond to it.

We may remove feedback that we determine, in our sole discretion, to be unlawful, offensive, or in violation of these Terms.

Section 12 — Errors, Inaccuracies, and Omissions

Occasionally information on the Services may contain typographical errors or inaccuracies relating to product descriptions, pricing, promotions, or availability. We reserve the right to correct errors and update or cancel orders where information is found to be inaccurate, without prior notice.

TO THE FULLEST EXTENT PERMITTED BY LAW, VERDARRAY, OUR PARTNERS, DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS, AND THOSE OF SHOPIFY, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES — INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA — ARISING FROM YOUR USE OF THE SERVICES OR FROM ANY PRODUCTS PURCHASED THROUGH THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

You agree to indemnify and hold harmless VerdaRay, Shopify, and our respective affiliates, officers, directors, employees, and agents from any losses, damages, or claims — including reasonable legal fees — arising from your breach of these Terms, your violation of any law, or your use of the Services.

We will notify you of any claim requiring indemnification and may control its defence, but will not settle any claim requiring obligations from you without your consent.

Section 18 — Severability

If any provision of these Terms is found to be unlawful or unenforceable, it will be enforced to the maximum extent permitted by law. The remaining provisions will remain in full force and effect.

Section 19 — Waiver and Entire Agreement

Our failure to enforce any right or provision does not constitute a waiver of that right. These Terms, together with our posted policies, constitute the entire agreement between you and VerdaRay regarding use of the Services and supersede all prior agreements.

Section 20 — Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. VerdaRay may transfer or assign these Terms without restriction.

Section 21 — Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. You and VerdaRay agree to submit to the exclusive jurisdiction of the courts of England and Wales.

We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. We will notify you of material changes as required by applicable law. Your continued use of the Services after changes are posted constitutes your acceptance of the revised Terms.
